Terms of Service
Last updated: October 31, 2026
These Terms of Service (the "Terms") set out the conditions for using "R2C", the AI sales assistant provided by Mooores Inc. ("we", "us" or "our") (the "Service"). A company or individual that contracts for and uses the Service (the "User") uses the Service on the basis that it agrees to these Terms.
Article 1 (Application)
- These Terms apply to all relationships between us and the User concerning use of the Service.
- Individual rules, guidelines and pricing plans that we publish on the Service form part of these Terms. If these Terms and an individual rule conflict, the individual rule prevails.
Article 2 (Definitions)
- "End User" means a third party who visits a website or other place where the User has installed the Service and talks with the Service's AI.
- "Content" means the information the User registers with the Service, such as FAQs, product information and knowledge.
Article 3 (The Service)
- Through an AI chat that the User embeds in its website or other place (and related features such as voice and avatars), the Service provides responses to End Users' questions, guidance toward purchases, bookings and inquiries, and measurement of conversation quality.
- The Service includes automatic responses by AI. We do not guarantee that the content of those responses is accurate, complete or fit for a particular purpose. The final decision is made at the responsibility of the User and the End User.
- The Service includes a feature in which the AI reads the content of an image sent by an End User and reflects it in its response ("Consultation by Image"). This feature is provided only when a User on an eligible pricing plan turns it on in the dashboard, and it is off by default. The result of reading an image is an estimate by the AI, and we do not guarantee its accuracy.
- In addition to embedding in the User's website, the Service may, only where the User permits it, automatically answer End Users' questions through external AI services such as ChatGPT and Claude, and through LINE official accounts. Conversations through these channels are also conversations of the Service and are subject to the fees in Article 5.
- We may change, add to or discontinue the content of the Service without prior notice to the User.
Article 4 (Account)
- The User keeps its registration information accurate and up to date.
- The User manages its credentials at its own responsibility, and must not let a third party use them or lend or transfer them.
- The User is responsible for any loss caused by inadequate management of credentials, mistakes in use, use by a third party, and the like.
- The Service is for businesses. A User must be at least 18 years old and use the Service for business purposes. The User confirms this when applying. If we find that this condition is not met, we may suspend or delete the account.
Article 5 (Fees and payment)
- The User pays the usage fees, according to the pricing plan it selects and usage-based charges (the number of conversations, avatar minutes, the number of image generations, and so on), by the method we specify. The current fees are set out in the pricing plans and in the Notice Based on the Act on Specified Commercial Transactions (available in Japanese only).
- Usage-based charges are calculated from the usage we measure. On the usage-based plan (Starter), the User can set a monthly limit in the dashboard (the default is 10,000 yen including tax, within a range of 1,000 yen to 100,000 yen including tax). When the limit is reached, we pause the chat guidance and the avatar that the User offers to its customers. (Because the limit works as a guide, it may stop a few conversations before or after the exact amount.) Consultations with the dashboard assistant do not stop, and charges may exceed the limit.
- Payment is by credit card (payment processor: Stripe, Inc.). Billing is by calendar month (from the 1st to the last day of each month). The month changes at 0:00 on the 1st of each month in Coordinated Universal Time (UTC) (9:00 a.m. on the 1st in Japan time). If there is a monthly base fee, we charge the first month, prorated daily for the period from the contract date to the 1st of the next month, at the time of contracting, and from the following month we charge each month's fee on the 1st of that month. Usage-based charges are totaled for each calendar month and billed on the 1st of the next month.
- On the usage-based plan (Starter), in addition to usage-based charges, the User bears a share of common costs. Common costs are the infrastructure costs needed to provide avatars and the infrastructure costs needed to operate the Service as a whole. We divide the amount equally among the Users who used the Service in that month, and bill each User its part (avatar infrastructure costs are divided among the Users who used avatars; shared infrastructure costs are divided among the Users who had any usage). The share is billed only for months in which the User used the Service, and not for months with no use. The total share per User is capped at 1,000 yen including tax per month, and we bear any amount above the cap. The share is billed on the 1st of the next month, like usage-based charges, and is not included in the monthly limit in paragraph 2.
- In "Consultation by Image", each image used in an answer counts as one conversation and is included in the conversation count. Images in an unsupported format, images that could not be read, and images not used in an answer for safety or other reasons are not counted. The User can set a limit on the number of images accepted per month in the dashboard.
- All displayed prices include tax (the total amount including consumption tax).
- Fees for services already provided are not refunded, except where the cause is attributable to us.
Article 6 (Suspension and restriction of use)
- On the free plan and other plans that have a limit, use of the Service may be paused when usage reaches the limit. After reaching a limit, the User can resume use by, for example, switching to a paid plan.
- If we cannot confirm payment of usage fees, we may suspend or restrict all or part of the Service, whether or not we give prior notice. We continue to provide the Service for 7 days after a payment is late. If payment cannot be confirmed after more than 7 days, we stop related features such as voice and avatars and then restrict use of text chat. If the unpaid amount is not settled, we may terminate the contract and stop providing the Service entirely.
- We are not liable for any loss caused to the User by a suspension or restriction under this Article.
Article 7 (Prohibited acts)
In using the Service, the User must not do any of the following.
- Acts that violate laws or public order and morals
- Acts related to criminal activity, or acts that infringe a third party's rights (intellectual property, privacy, reputation and so on)
- Acts that excessively interfere with the functions of the Service's servers or network, or that gain unauthorized access to them
- Reverse engineering or modifying the Service, or reselling or re-providing it without our permission
- Registering false information, or impersonating another person
- Providing illegal, harmful or discriminatory content through the Service, or acting with the aim of making the AI produce improper output
- Any other act that we reasonably judge to be inappropriate
Article 8 (Handling of Content and data)
- Rights in the Content the User registers belong to the User. The User permits us to use it (including sending it to external AI platforms) to the extent necessary to provide and improve the Service.
- Conversation data and other personal information are handled under the Privacy Policy. To generate AI responses and for similar purposes, the Service sends the content of conversations to external providers outside Japan.
- The User, at its own responsibility, obtains the consents and gives the privacy notices that are needed from End Users for use of the Service and for the handling of the data above (including sending it to external parties).
- If the User turns on "Consultation by Image", the User includes, in the consent and privacy notice in the preceding paragraph, that images received from End Users are sent to an external AI provider so that their content can be read, and that we do not store the image files themselves. We display a notice in the widget asking End Users not to show faces, names, addresses, phone numbers, card numbers and the like. The User nevertheless takes, at its own responsibility, the steps that are needed for the handling of such personal information.
- The User warrants that avatar images and other items it generates or uploads in the Service do not infringe a third party's copyright, trademark rights, portrait rights or other rights. If an infringement causes loss to us or a third party, the User resolves it at its own responsibility and expense.
- If the User turns on the channel of an external AI service or a LINE official account, the User, at its own responsibility, obtains the consents and gives the privacy notices that are needed from End Users for the recording and external sending of conversations through these channels.
Article 9 (Intellectual property)
All intellectual property rights in the Service and related to it belong to us or the rightful holders. These Terms do not transfer those rights to the User beyond what is necessary to use the Service.
Article 9-2 (Reporting an infringement of rights)
- If you believe that content provided on the Service (including materials, images and text registered by a User) infringes copyright or another right, please report it to the contact point given in the Notice Based on the Act on Specified Commercial Transactions (info@r2c.biz), with the following: (1) the rights holder's name and contact details; (2) the right that is infringed; (3) the location of the content you believe infringes (a URL or the like); (4) a statement that the report is made in good faith.
- When we receive a report, we review it and, if needed, delete or hide the content and notify the User. If the User objects to the report, it can say so, with its reasons, to the same contact point.
- For a User that repeatedly infringes rights, we may suspend or terminate the account under Article 6.
Article 10 (Disclaimer)
- We do not warrant, expressly or impliedly, that the Service is free of factual or legal defects (including defects in safety, reliability, accuracy, completeness, effectiveness and fitness for a particular purpose).
- We are not liable for loss caused to the User by interruption, suspension, termination, unavailability or change of the Service, by loss of data, by unauthorized access by a third party, or the like, except where it is caused by our intent or gross negligence.
- Even where we are liable for damages, our liability is capped at an amount equal to the usage fees for the one month immediately before the month in which the cause of the loss arose, and does not include special damages or lost profits. (This does not apply to the extent it would be invalid under a consumer contract or other mandatory law.)
Article 11 (Contract term and cancellation)
- A paid-plan contract renews automatically every month on the same terms unless it is cancelled. The monthly base fee is billed on the 1st of each month, as set out in Article 5, paragraph 3.
- The User can cancel the Service at any time by the method we specify (the dashboard or the contact point).
- When charges stop after cancellation, whether charges are prorated, and the deletion of data follow the Notice Based on the Act on Specified Commercial Transactions and the Privacy Policy. We do not prorate at the time of cancellation and do not refund fees already paid. Cancellation is complete when charging stops from the next billing.
Article 12 (Changes to these Terms)
We may change these Terms without notifying the User when we judge it necessary. The changed Terms take effect when they are posted on the Service. For important changes, we announce them in advance by a method we specify.
Article 13 (Assignment of rights and obligations)
- The User must not transfer its position under the usage contract, or its rights or obligations under these Terms, to a third party, or put them up as security, without our prior written consent.
- If we transfer the business relating to the Service to a third party (including a business transfer, a company split, and any other case in which the business moves), we may transfer to the transferee, together with that transfer, our position under the usage contract, our rights and obligations under these Terms, and registration information and other User information, and the User agrees to this in advance.
Article 14 (Governing law and jurisdiction)
- These Terms are governed by the laws of Japan.
- The Tokyo District Court is the exclusive court of agreed jurisdiction of first instance for any dispute between us and the User concerning the Service.
